Court Dismisses Breach of Contract and
Fraud Claims Against BLF Client

BLF attorney Richard Bazelon represented husband and wife defendants being sued in the U.S. District Court for the Eastern District of Pennsylvania for breach of contract and fraud, in connection with the sale of their wholly owned and operated business.

Defendants, through BLF, moved to dismiss the counts of the complaint based on contract, and to dismiss the count based on fraudulent representations in the sale agreement. The court granted the motion as to the contract claims on the basis that the defendants (as opposed to their corporation) were not signatories to the agreement of sale, and granted the motion on the fraud claim based on the “gist of the action” doctrine.
